  16. WITH PERFORMANCE TECHNOLOGY, INC. FOR 
  17. ACQUISITION AND MERGER

  19. (TUCSON, AZ -- April 20, 1992) -- Artisoft, Inc., the 
  20. Tucson-based developer and manufacturer of the award-
  21. winning LANtastic Local Area Network, today announced 
  22. that it has signed a letter of intent with Performance 
  23. Technology, Inc. to acquire Performance Technology in 
  24. a statutory merger. Performance Technology will be 
  25. maintained as a wholly owned subsidiary of Artisoft. 
  26. Under the terms of the letter of intent, the 
  27. shareholders and stock option holders of Performance 
  28. Technology will receive 300,000 shares of Artisoft 
  29. common stock in exchange for their interest in 
  30. Performance Technology.

  33. privately held company, is the developer and 
  34. manufacturer of such award-winning networking products 
  35. as POWERfusion, linking PCs to UNIX processors, 
  36. POWERsave, an archival system for networks, and
